1. Acceptance of terms
By accessing or using the Torbryan website, platform, or related services (together, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you must not use the Services.
2. Description of services
Torbryan provides AI-powered cash flow analysis tools intended to support, not replace, the financial decision-making of small and medium businesses. Outputs generated by the Services are informational in nature and should be reviewed by a qualified professional before being relied upon for material business decisions. Torbryan does not guarantee the accuracy, completeness, or suitability of any analysis, forecast, or recommendation produced through the Services.
3. Eligibility and account registration
To use certain features of the Services, you may be required to register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorised use of your account.
4. Acceptable use
When using the Services, you agree that you will not:
- Use the Services for any unlawful purpose or in violation of any applicable regulation.
- Attempt to gain unauthorised access to any part of the platform, other accounts, or connected systems.
- Reverse engineer, decompile, or otherwise attempt to extract the underlying models or source code of the Services.
- Upload or submit data that you do not have the right to share, or that infringes the rights of any third party.
- Use the Services to build a competing product or service.
5. Fees and payment
Certain features of the Services may require payment of fees, as described in the applicable order form, pricing page, or agreement presented to you at the time of purchase. Unless otherwise stated, fees are billed in advance and are non-refundable except as required by law or as expressly stated in a separate agreement. Torbryan reserves the right to change its fees on reasonable notice.
6. Client data and inputs
You retain ownership of any financial data, documents, and other materials you submit to the Services ("Client Data"). You grant Torbryan a limited licence to process Client Data solely for the purpose of providing and improving the Services, subject to our Privacy Policy. You are responsible for ensuring that you have the necessary rights and permissions to submit Client Data, including any third-party or employee data it may contain.
7. Intellectual property
The Services, including all software, models, designs, text, and other content provided by Torbryan (excluding Client Data), are the property of Torbryan or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms transfers ownership of any such intellectual property to you. You are granted a limited, non-exclusive, non-transferable licence to use the Services in accordance with these Terms.
8. Disclaimer of advice
Nothing provided through the Services constitutes financial, accounting, tax, legal, or investment advice. Outputs are generated using automated analysis and may contain errors, omissions, or limitations inherent in AI-based systems. Decisions made on the basis of the Services remain your sole responsibility, and you are encouraged to seek independent professional advice before acting on any output.
9. Limitation of liability
To the fullest extent permitted by law, Torbryan shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Services, even if advised of the possibility of such damages. Torbryan's total aggregate liability arising out of or related to these Terms shall not exceed the amount paid by you for the Services in the twelve (12) months preceding the claim.
10. Service availability
We aim to keep the Services available and operating reliably, but we do not guarantee uninterrupted or error-free access. The Services may be suspended for maintenance, updates, or circumstances beyond our reasonable control. We are not liable for any loss arising from temporary unavailability of the Services.
11. Termination
We may suspend or terminate your access to the Services if you breach these Terms, or at our reasonable discretion with notice. You may stop using the Services and close your account at any time. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and disclaimers) will continue to apply.
12. Changes to these terms
We may update these Terms from time to time to reflect changes to the Services or for legal, regulatory, or operational reasons. We will make reasonable efforts to notify you of material changes. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
13. Governing law
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, subject to any mandatory consumer protections that may apply.
